water resistant??

So i was looking at a watch today, not neccessarily for diving , and i noticed that some were rated 200M water Resistant,

1)Now isnt that something like 656 Feet?

2)To dive with a watch doesnt it HAVE to be water PROOF!!!! not just water resistant?

3)if #2 is correct then whats the point of have a watch that is water resistant to 200M?
